TERMS of TRADE
The following terms shall be incorporated into every contract between the Buyer / Customer and Rosmac Limited, trading as NEPTUNE Products, for the supply of goods, unless specifically excluded in writing and signed by both parties.
1) PAYMENT ..
1.1 Payment is to be made in full prior to the despatch of goods unless otherwise agreed in writing.
1.2 Receipt of any cheque, credit card details, or other bill of exchange shall not comprise payment until the same has been honoured and cleared.
1.3 Part payment will not compromise the rights of Rosmac Ltd, nor will it constitute satisfaction and/or transfer of the title in the goods.
2) ROMALPA Clause ..
2.1 All goods remain the property of Rosmac Ltd, until payment in full is received (Romalpa clause).
3) PRICE ..
3.1 Prices are subject to change without notice and all goods shall be charged at prices ruling at the time of ordering.
3.2 Any change in price arising from imposition of, or change in Government duties, levies, fees and taxes shall be for the account of the Buyer, shall be charged accordingly and shall be deemed to be part of the price.
3.3 All prices listed are inclusive of GST (NZ Govt Goods and Services Tax).
4) FREIGHT ..
4.1 Freight is charged on all delivered goods, unless otherwise stated.
4.2 Goods shall be freighted by normal ground transport (usually courier) to your stated delivery address. International deliveries will be by air and ground couriers, unless agreed otherwise. We cannot deliver to a PO Box or Postal Bag.
4.3 All claims for goods lost or damaged in transit must be lodged with the carrier concerned within 7 days and Rosmac Ltd must be notified of such claims within 7 days.
5) AVAILABILITY ..
5.1 All orders are subject to goods availability, but Rosmac Ltd will make every reasonable endeavour to supply goods in full as soon as possible.
6) RETURNS and CANCELLED ORDERS ..
6.1 Goods returned for credit and cancelled orders, will only be accepted subject to prior approval by Rosmac Ltd. All costs in returning goods are the responsibility of the Buyer.
7) CONFIDENTIALITY ..
7.1 Unless with prior written consent of the Buyer, or unless required by law, Rosmac Ltd will not use, or disclose to any third party (other than for the purpose of performing these TERMS of TRADE), any information known to be confidential to the Buyer, or any information presumed by Rosamc Ltd to be confidential to the Buyer.
8) 200% MONEY BACK GUARANTEE ..
8.1 To provide you with peace of mind, a double your money back guarantee on our label claim product performance is offered for 12 months from the date of sale on all our NEPTUNE Products, (excepting those in 8.2 below), such guarantee being limited to double your purchase price of the goods, provided such goods are proven to have been used strictly in accordance with directions on the product label, on structurally and mechanically sound objects.
8.2 This guarantee (8.1) does not, for logistical reasons, apply outside New Zealand, nor to e-books, or services, such items being covered by NZ Statutes.
9) CONDITIONS of SALE .. DISCLAIMER ..
9.1 Every reasonable effort has been made to provide accurate information, but since Rosmac Ltd cannot control the post-sale storage, or use of goods, no responsibility is accepted for such storage, use, or results thereof. Furthermore, no responsibility is taken for any wear, mechanical failure, or other deterioration occurring before, during, or after the use of any products.
9.2 All warranties and representations not set out in these TERMS of TRADE, whether expressed, implied, statutory or otherwise, are excluded from these TERMS of TRADE to the fullest extent allowed by law.
10) QUALITY ..
10.1 Rosmac Ltd retains the right to modify, or improve the product specifications affecting quality at anytime without notice.
11) FORCE MAJEURE ..
11.1 Rosmac Ltd will not be liable for any act, or failure to fulfill its obligations, arising from any cause reasonably beyond its control, including acts of God, strikes, lockouts, riots, acts of war, epidemics, governmental actions, fire, communication line failures, power failures, earthquakes, or other disasters (called “Force Majeure”).
12.1 Any disputes will be conducted under New Zealand Law in English.
13) INTERNATIONAL CUSTOMS et al ..
13.1 The customer is responsible for compliance with all destination customs, import licences, tariffs, taxes, duties, Laws and regulations.
